Terms of Service

These Terms of Service ("Terms") govern access to and use of the Plegz digital platform, website, applications, and related services (collectively, the "Platform").

The Platform is operated by Big Blue Dot Project OÜ, a company incorporated under the laws of Estonia, with registered address at Tööstuse tn 75‑71, 10416 Tallinn, Estonia ("Plegz", "Company", "we", "us", or "our").

By accessing or using the Platform, creating an account, or purchasing or offering services through Plegz, you ("User") agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

1. Definitions

  • 1.1 "Buyer" means a User who purchases professional services through the Platform.
  • 1.2 "Seller" or "Professional" means a User who offers and provides professional services through the Platform.
  • 1.3 "Dot" means a professional service offering published by a Seller on the Platform.
  • 1.4 "Order" means a binding agreement between a Buyer and a Seller for the provision of a Dot.
  • 1.5 "Platform Fee" means the service fee charged by Plegz for use of the Platform.
  • 1.6 "User Generated Content" or "UGC" means any content uploaded or created by Users.

2. Eligibility and Account Registration

  • 2.1 The Platform is available only to individuals who are at least eighteen (18) years of age and capable of forming legally binding contracts.
  • 2.2 Users must provide accurate, complete, and up‑to‑date information during registration.
  • 2.3 Each User may maintain only one account unless expressly authorised by Plegz.
  • 2.4 Users are responsible for safeguarding their login credentials and all activities under their account.

3. Nature of the Platform

  • 3.1 Plegz is a digital marketplace facilitating connections between Buyers and independent Sellers.
  • 3.2 Plegz is not a party to contracts between Buyers and Sellers.
  • 3.3 Sellers act as independent contractors and not as employees, agents, or partners of Plegz.

4. Seller Obligations

  • 4.1 Sellers are solely responsible for the accuracy, legality, and quality of their Dots.
  • 4.2 Sellers warrant that they possess all rights, qualifications, licenses, and insurance required to perform their services.
  • 4.3 Sellers must deliver services in accordance with the Dot description and agreed timelines.
  • 4.4 Sellers may not request or accept payments outside the Platform.

5. Buyer Obligations

  • 5.1 Buyers must provide clear and lawful requirements.
  • 5.2 Buyers shall use only lawful funds for transactions.
  • 5.3 Buyers may not solicit services outside the Platform.

6. Orders and Payments

  • 6.1 Payments are processed through authorised third‑party payment providers.
  • 6.2 Platform Fees are deducted as described at checkout.
  • 6.3 Taxes, including VAT, are applied in accordance with applicable EU and local law.
  • 6.4 Plegz does not guarantee refunds except as required by law or expressly stated.

7. Intellectual Property

  • 7.1 Upon full payment, intellectual property rights transfer as specified in the Dot description or Order.
  • 7.2 Unless otherwise agreed, Sellers assign deliverable copyrights to Buyers.
  • 7.3 Plegz retains all intellectual property rights in the Platform.

8. User Conduct

  • 8.1 Users shall act professionally and lawfully.
  • 8.2 Harassment, discrimination, fraud, or misuse of the Platform is prohibited.
  • 8.3 Plegz may suspend or terminate accounts for violations.

9. User Generated Content

  • 9.1 Users retain ownership of UGC but grant Plegz a worldwide, royalty‑free license to use it for Platform operation and marketing.
  • 9.2 Users warrant that UGC does not infringe third‑party rights.

10. Confidentiality and Data Protection

  • 10.1 Users shall keep confidential information confidential.
  • 10.2 Personal data is processed in accordance with EU GDPR and Plegz Privacy Policy.

11. Disclaimers

  • 11.1 The Platform is provided "as is" and "as available".
  • 11.2 Plegz disclaims all warranties except where prohibited by law.

12. Limitation of Liability

  • 12.1 To the maximum extent permitted by law, Plegz shall not be liable for indirect or consequential damages.
  • 12.2 Plegz's total liability shall not exceed the Platform Fees paid by the User in the preceding twelve (12) months.

13. Indemnification

  • 13.1 Users agree to indemnify and hold harmless Plegz from claims arising from their use of the Platform or breach of these Terms.

14. Suspension and Termination

  • 14.1 Plegz may suspend or terminate accounts for violations or legal compliance.
  • 14.2 Termination does not affect accrued rights or obligations.

15. Amendments

  • 15.1 Plegz may amend these Terms by publishing updated versions on the Platform.
  • 15.2 Continued use constitutes acceptance.

16. Governing Law and Jurisdiction

  • 16.1 These Terms are governed by the laws of the Republic of Estonia.
  • 16.2 The courts of Harju County, Estonia, shall have exclusive jurisdiction.

17. Miscellaneous

  • 17.1 Severability: Invalid provisions shall not affect remaining Terms.
  • 17.2 Assignment: Users may not assign rights without consent.
  • 17.3 Entire Agreement: These Terms constitute the entire agreement.
