Buyer and Seller Terms

These Buyer and Seller Terms ("Terms") form an integral part of the Plegz Terms of Service and apply specifically to Buyers and Sellers (Professionals) using the Plegz platform.

Plegz is operated by Big Blue Dot Project OÜ, Tööstuse tn 75-71, 10416 Tallinn, Estonia ("Plegz", "we", "us").

PART A – SELLER (PROFESSIONAL) TERMS

1. Scope and Role of Sellers

  • 1.1 Sellers act as independent professionals offering services ("Dots") to Buyers through the Platform.
  • 1.2 Sellers are not employees, agents, or partners of Plegz.
  • 1.3 Sellers are solely responsible for their professional activities, compliance, and obligations.

2. Creation and Management of Dots

  • 2.1 Sellers may publish Dots describing their services, pricing, scope, and delivery timelines.
  • 2.2 Dots must be accurate, lawful, and not misleading.
  • 2.3 Plegz reserves the right to review, suspend, or remove Dots that violate applicable law or Platform rules.

3. Seller Obligations

  • 3.1 Sellers warrant that they possess all necessary skills, qualifications, licenses, and insurance.
  • 3.2 Sellers shall perform services with due professional care and diligence.
  • 3.3 Sellers must deliver services in accordance with the agreed Dot and Order.

4. Payments and Fees

  • 4.1 Payments are processed through Plegz's designated payment providers.
  • 4.2 Plegz deducts a Platform Fee as disclosed at checkout.
  • 4.3 Sellers are responsible for declaring and paying all applicable taxes.

5. Prohibited Conduct

5.1 Sellers shall not:

  • (a) Circumvent the Platform for payments;
  • (b) Misrepresent qualifications;
  • (c) Infringe third-party rights;
  • (d) Engage in unlawful or unethical conduct.

PART B – BUYER TERMS

6. Scope and Role of Buyers

  • 6.1 Buyers may purchase Dots for lawful purposes only.
  • 6.2 Buyers enter into contracts directly with Sellers.

7. Buyer Obligations

  • 7.1 Buyers shall provide clear, accurate, and lawful requirements.
  • 7.2 Buyers must cooperate reasonably with Sellers.
  • 7.3 Buyers shall not request unlawful or infringing services.

8. Payments

  • 8.1 Buyers must pay all fees in advance via the Platform.
  • 8.2 Payments are subject to applicable taxes, including VAT.
  • 8.3 Refunds are governed by Platform rules and mandatory consumer law.

9. Reviews and Feedback

  • 9.1 Buyers may leave honest and fair reviews.
  • 9.2 Reviews must not be abusive, misleading, or defamatory.

PART C – COMMON PROVISIONS

10. Intellectual Property

  • 10.1 Unless otherwise agreed, intellectual property rights in deliverables transfer to the Buyer upon full payment.
  • 10.2 Plegz retains all rights in the Platform.

11. Confidentiality

  • 11.1 Parties shall treat non-public information as confidential.

12. Suspension and Termination

  • 12.1 Plegz may suspend or terminate accounts for breaches of these Terms.
  • 12.2 Termination does not affect completed Orders.

13. Liability and Disclaimers

  • 13.1 Plegz is not liable for the performance of Sellers.
  • 13.2 Liability is limited to the extent permitted by law.

14. Governing Law and Jurisdiction

  • 14.1 These Terms are governed by the laws of the Republic of Estonia.
  • 14.2 The courts of Harju County, Estonia shall have exclusive jurisdiction.

15. Final Provisions

  • 15.1 Severability: Invalid provisions do not affect remaining Terms.
  • 15.2 Entire Agreement: These Terms supplement the Plegz Terms of Service.
